Borealis Nigeria Limited: What the CAC Register Shows and the Website Does Not

Borealis Nigeria Limited is a real, active Nigerian company with a registration history going back more than thirty years. The Corporate Affairs Commission lists it as RC 256742, incorporated on 27 October 1994, status active, registered at Kado District, Abuja. That much a buyer can confirm in a few minutes from a public register.

What a buyer cannot confirm is almost everything else. The company's website presents a leadership team that does not exist, gives a Kolkata street address as the location of its Abuja estates, and currently hosts more than nine thousand pages of Australian online-casino content published under the company's own name on a single day in July 2025. None of that is evidence of wrongdoing. It is evidence that the public-facing record and the corporate record have come apart, and for anyone weighing a purchase, that gap is the thing to deal with first.

What the register confirms

Nigeria's Beneficial Ownership Register, operated by the Corporate Affairs Commission, is the most useful free check available on a Nigerian company. For the company it returns RC 256742, an incorporation date of 27 October 1994, a status of ACTIVE, and a registered address in Kado District, Abuja.

The register also names the people behind it. Two persons of significant control are currently listed as active: Hauwa Khalifa and Naziru Abdullahi Khalifa, both recorded with an appointment date of 14 March 2023. The register holds six filings for the company in total, the same two names appearing in earlier entries dated 5 July 2022 and 13 July 2022 that are now marked inactive. Those are the only individuals the company has declared to the state as controlling it.

The register shows something else worth knowing. Eight companies carrying the Borealis name are registered at Kado District or Plot 319 Kado, Abuja. Alongside it they are Borealis Apartment Limited (RC 1835865), Borealis Cements Limited (RC 1746482), Borealis Energy Limited (RC 1460948), Borealis Fashion Limited (RC 1833198), Borealis Feed Mill Nigeria Limited (RC 1884976), Borealis Polyolefins and Chemical Ltd (RC 1834071) and Borealis Rice Mills Ltd (RC 1744804). Of those eight, only two are active at the register: Borealis Nigeria Limited itself and Borealis Feed Mill Nigeria Limited. The other six are listed as inactive. The register does not say why a company is inactive, and inactive status at CAC commonly reflects unfiled annual returns rather than anything more serious.

One clarification matters here. Borealis Polyolefins and Chemical Ltd shares a name with Borealis AG, the Austrian petrochemicals group. Nothing in the register or anywhere else indicates a connection between them, and none should be assumed. A handful of unrelated Nigerian companies in Lagos, Kaduna and Port Harcourt also use the Borealis name and belong to different owners entirely.

What the website shows

The company's site at borealisng.com is live and describes Borealis Nigeria Limited as an Abuja developer, stating that it "was established in 1994", which matches the register. Its head office is given as 319 Ahmadu Bello Way, Kado, Abuja, the same location as the wider company cluster.

From there the site stops being a reliable document.

The "Our leaders" page lists a chairman called Mr. Johnathan Doe, described in a biography about the founder of an Indian company that mined China clay in eastern Rajasthan. A vice chairman named Mr. Ron Perman is said to have graduated in commerce from Kolkata. Further staff are listed with the email address contact@example.com and Vietnamese telephone numbers beginning +84. These are the unedited placeholder names and text that ship with a commercial WordPress theme. Neither Hauwa Khalifa nor Naziru Abdullahi Khalifa, the two people the company has actually declared to the register, appears anywhere on the site.

The project pages have a similar problem. Five developments are listed. Two, Gwarinpa 1151 and Lifecamp 1094, are marked "completed", with unit counts given as 20 four-bedroom terraces and 12 three-bedroom flats at Gwarinpa, and 12 terraces and 18 flats at Life Camp. Neither page carries a completion date, a start date, a title reference or a photograph that can be independently placed. Both give their location address as "46B Matheswartala Road, Kolkata 700 046 New York, USA", which is the theme's demo address rather than anything in Abuja. Three further projects, Asokoro 4046, Kagini Estate and Karmo 616, carry no status and no unit data at all. The enquiry form on every project page renders the raw error string "[contact-form-7 404 Not Found]" instead of a working form. The about page's company timeline runs under the years 1994, 2003, 2013 and 2019 with Lorem ipsum placeholder Latin beneath each one.
