For a buyer, the practical consequence is simple. The marketing says Alphanam. The sale and purchase agreement will name one of these, and their balance sheets are not the same.
What the public filings actually show
ALP's exit from the exchange followed three loss-making years. Reported losses ran to roughly VND 149 billion in 2012, VND 213 billion in 2013 and about VND 144 billion over the first nine months of 2014. Retained earnings stood at negative VND 385 billion at the point of delisting, which the chairman attributed largely to provisions taken on acquiring loss-making companies. Shares last traded at VND 3,400, around 66 percent below par.
Nguyen Tuan Hai did not treat the delisting as a defeat. Speaking to VnExpress in December 2014, he said the move was "carefully calculated and proceeded according to plan" and that he felt relieved, framing the group as an investment and acquisition business better run privately than publicly.
The listed affiliate's numbers are more current. Alphanam E&C's Q1 2025 interim figures show revenue of nearly VND 1,124.5 billion, up 223 percent year on year, converting to net profit of roughly VND 1.5 billion. Cost of goods sold absorbed VND 1,087.5 billion of that revenue. Financial expenses, entirely loan interest, came to nearly VND 27.2 billion. Short-term borrowings stood above VND 2,064.6 billion at 31 March 2025, with total liabilities above VND 2,966.6 billion, up VND 662.8 billion since the start of the year.
Those are thin margins on large turnover, carried on substantial debt. That is a description of the numbers, not a prediction about them, and construction contracting is a low-margin business by nature. But it is the kind of thing a buyer putting down a deposit on an off-plan unit has a reason to know.
Ownership of AME is concentrated. As at 27 February 2026, Alphanam Investment held 83.01 percent, about 54.1 million shares; another group entity, Alphanam Company, held 6.12 percent; and Nguyen Minh Nhat personally held 4.32 percent, about 2.8 million shares. Close to 90 percent sits inside the group.
Who runs it
Nguyen Tuan Hai remains the group's chairman and founder, though he has described stepping back and transferring the bulk of operations to his children. He was awarded Vietnam's Third Class Labour Medal in 2010.
Nguyen Minh Nhat, his son, became chief executive of Alphanam Real Estate JSC at 28 and is vice chairman of the board at Alphanam E&C. He is also chairman and chief executive of Muong Hoa Cultural Park Investment JSC.
Nguyen Ngoc My, his daughter, became chief executive of Foodinco Land JSC at 25 and founded the Alphanam Green Foundation in 2016.
Truong Thi Thu Hien is general director and legal representative of Alphanam E&C.
The delivery record, and where it stops being documented
Alphanam Group has delivered. Four Points by Sheraton and Altara Suites at 118 to 120 Vo Nguyen Giap in Son Tra, Da Nang are operating. Golden Square in Hai Chau, Da Nang, Altara Residences at 76 Tran Hung Dao in Quy Nhon, and Golden City in Long Xuyen, An Giang are in the group's own portfolio.
The forward pipeline is large and recent. In July 2025 the group started two Sa Pa projects worth around VND 4.3 trillion, a Sofitel hotel and residences and a Holiday Inn Resort. In October 2025 it broke ground on the Muong Hoa International Resort Complex in Sa Pa, Lao Cai, at VND 5.5 trillion, comprising a 316-room Courtyard by Marriott with 192 serviced apartments and nine bungalows plus 354 Marriott Bonvoy branded residences and 18 townhouses, with completion stated for 2027. The group says it controls more than 5,000 hectares nationally across more than 50 projects.
The documentation gap is on the portfolio page itself. Alphanam's own project listing names locations and brand partners but gives no completion dates, no handover years and no construction status for any development. That is a disclosure gap, not evidence of anything about the projects. It does mean the announced-versus-completed comparison a buyer wants to run cannot be run from the developer's own materials, and has to be assembled from filings and press instead. Tracking that kind of record across developers is the problem Bektu exists to solve.
The financing detail buyers tend to miss
On 30 October 2025, Alphanam E&C's board passed resolution 2423/2025/NQ/E&CHDQT approving a credit facility of VND 1,077 billion with Sacombank Thang Long branch, for working capital, payment guarantees and letters of credit.
The security is the interesting part. It is land use rights over three parcels in Cam Thanh ward, Hoi An, Quang Nam, owned by Do Thi Minh Anh, who is Nguyen Tuan Hai's wife and Nguyen Minh Nhat's mother, together with land use rights over a parcel in Sa Pa district, Lao Cai, owned by Muong Hoa Cultural Park Investment JSC, the related company Nguyen Minh Nhat chairs.
Related-party security of this kind is ordinary in Vietnamese family groups and is disclosed exactly as it should be. The point for a buyer is structural: the assets standing behind a group company's borrowing may be owned by individuals and affiliates rather than by the company you contract with. Which entity holds what matters if a project stalls.
What to verify before you sign
Ask which legal entity is the licensed project owner, and check that the name on the sale and purchase agreement matches the name on the investment registration certificate for the project, not the group brand. Confirm the project is approved to sell to foreign buyers and that the building is within the 30 percent foreign ownership cap for apartments. Check the route to a pink book before paying, because delivery of the certificate is where Vietnamese purchases most often stall. Confirm the deposit you are asked for respects the 5 percent cap on off-plan deposits. And read the developer's debt position the same way you would read a peer's, as with HD Mon Holdings in Hanoi.
