What Happens If Your Developer's License to Sell Is Revoked While You Are Paying for a Pre-Selling Condo in the Philippines

If your developer's License to Sell is revoked while you are still paying for a pre-selling condo, your contract does not automatically disappear and you do not automatically lose your money. Revocation is a regulatory action against the developer, not against you, and the same law that requires the license also gives you the right to stop paying and ask for your money back. The practical question is which remedy you use and how fast you move.

This is one of the most common scenarios foreign and overseas Filipino buyers ask about, because pre-selling is where most condo purchases in Metro Manila, Cebu and Davao start. Below is what the law actually says.

What is a License to Sell and why does it matter?

A License to Sell is the permit a developer must hold before it can legally sell any pre-selling subdivision lot or condominium unit. It is required by Presidential Decree No. 957, the Subdivision and Condominium Buyers' Protective Decree, and it is issued by the Department of Human Settlements and Urban Development (DHSUD), which absorbed the old HLURB. Under the decree, a developer that has only registered its project still cannot sell units until it obtains the License to Sell, normally within two weeks of registration. Selling without a valid license is the violation the regulator punishes.

Can DHSUD really revoke a License to Sell?

Yes. DHSUD can revoke both the project registration and the License to Sell, either on its own initiative or after a verified complaint from a buyer. The power to revoke is written directly into PD 957, and it is usually triggered by misrepresentation, building without the right permits, selling beyond the licensed scope, or failing to develop the project as approved. Once revoked, the developer cannot legally continue marketing or collecting on units in that project.
